I. Master User Agreement & Terms of Service

Scope: Covers the general operation of the exchange and the legal definition of the ZGold asset.

The Asset: Each "ZGold Token" represents a beneficial interest in a specific weight of physical gold (e.g., 1 fine troy ounce or 1 gram) of .9999 purity, stored in secured, LBMA-approved vaults.
Title: ZGold acts as the bailee. Legal title to the underlying gold remains with the collective token holders, held in a segregated "Customer Asset" account, separate from ZGold's corporate balance sheet.

Order Book: ZGold operates a Central Limit Order Book (CLOB). By placing an order, the user authorizes the platform to lock the necessary assets (Gold or Currency) until the order is executed or canceled.
Settlement: Trading on the platform is "off-chain" within the internal ledger for speed. On-chain settlement only occurs during the Mint/Redeem process.
Error Trade Policy: ZGold reserves the right to cancel or reverse trades resulting from clear "manifest error" (e.g., a price 20% off the global spot gold price due to a technical glitch).

II. Minting & Redemption Policy (RWA Specifics)

Scope: The technical "bridge" between the physical world and the digital ledger.

Process: Users may mint ZGold tokens by depositing fiat currency or delivering physical gold to an approved vaulting partner.
Verification: Tokens are issued only after the physical gold has been assayed, verified, and placed into the segregated vault.
Fees: A "Minting Fee" (e.g., 0.50%) applies to cover the costs of custody setup and digital issuance.

Right to Redeem: Any verified user holding the minimum required balance (e.g., 100g or 1kg) has the right to redeem their tokens for physical gold.
Delivery & Logistics: Redemption requires a "Redemption Request" form. Users are responsible for all shipping, insurance, and handling costs from the vault to their destination.
Token Burning: Upon successful delivery or pickup, the corresponding digital ZGold tokens are permanently destroyed (burned) from the supply.

Scope: Moving liquidity in and out of the ZGold ecosystem.

Fiat Gateways: ZGold supports deposits via Wire Transfer and SEPA. Funds must originate from a bank account in the user's name (no third-party deposits).
Holding Periods: New accounts may be subject to a 3–5 day "clearance period" before fiat deposits can be used to mint ZGold tokens.

KYC/AML Triggers: Withdrawals exceeding a specific threshold (e.g., $10,000 USD equivalent) may trigger an additional "Source of Funds" (SoF) review.
Security Latency: To prevent theft, large withdrawals may require manual approval and have a 24-hour "cooling-off" period.

Price Fluctuations: Users acknowledge that gold prices are volatile. ZGold is not responsible for losses incurred due to market movements.
Custodial Risk: While gold is insured, users acknowledge that "Force Majeure" events (war, government seizure, nationalization of assets) are risks inherent to physical commodities.
